This text is a pre-publication version and is not yet in force. Its effective date will be announced on this page.
This English version is provided for convenience. In case of conflict, the Turkish version prevails.
1. Parties and subject
1.1. These terms set out the rules for using the Odyonom hearing centre management software (the "App") provided by Virtual Riddle Teknoloji A.Ş. ("Odyonom").
1.2. You use the App on behalf of, and on the invitation or authorisation of, a hearing centre or business that has a subscription agreement with Odyonom (the "Tenant") (the "User"). The App is provided to the User free of charge, for the Tenant's business; the fee relationship is between Odyonom and the Tenant. The Tenant is responsible for the Users acting on its behalf in the App.
1.3. You accept these terms by ticking the acceptance box when you create an account or when the current text is shown to you. If you do not accept them, you cannot use the App. The text you accepted is always available at this address and in the App.
2. Account
2.1. Your account is personal. You may not share your sign-in details, two-step verification tools or passkeys (password-free sign-in keys) with anyone else, and you may not use someone else's account. Actions taken with your account are deemed to have been taken by you.
2.2. You are responsible for keeping your account details accurate and up to date. If you suspect unauthorised use of your account, you must change your password immediately and report it to your Tenant administrator and to [email protected].
2.3. Tenant administrators may change or remove the roles, branch permissions and access given to you. When your membership in a Tenant ends, your access to that Tenant's data ends.
2.4. Where security requires it (for example unusual sign-in attempts or signs of a leaked password), Odyonom may end your sessions, ask for additional verification or temporarily lock the account without prior notice.
3. Acceptable use
When using the App:
3.1. You act only for the Tenant's business and within your authorisation. You access patient and staff data only to the extent your duties require.
3.2. You do not act in breach of the law, in particular Law No. 6698 on the Protection of Personal Data, health legislation, and Law No. 6563 and the commercial electronic message legislation.
3.3. You may not:
- try to bypass the App's security measures, access other tenants' data or attempt actions you are not authorised for;
- overload the App with automated tools, or extract data from the App in bulk by means other than the Tenant's export tools;
- upload files containing malware or unlawful content to the App;
- copy, reproduce, modify, decompile, reverse engineer, rent or let third parties use the App or any part of it; the rights that Article 38 of Law No. 5846 on Intellectual and Artistic Works grants to the lawful user and that cannot be excluded by contract are reserved;
- access the App with automated tools (bots, scrapers, scripts), collect data from it or use its undocumented interfaces without Odyonom's written permission;
- use or examine the App to develop a similar or competing product or to copy its features, screens or workflows;
- send commercial messages through the App to people who have not consented.
3.4. If you believe you have found a security vulnerability, report it to [email protected] without exploiting it or sharing it with anyone.
4. Data
4.1. The Tenant is the data controller for the patient, sales, stock and staff data you enter into the App on the Tenant's behalf. Odyonom processes this data on the Tenant's instructions as a data processor.
4.2. Odyonom is the data controller for your account data. How this data is processed is explained in the user privacy notice and the Privacy Policy.
4.3. You and the Tenant are responsible for the accuracy and lawfulness of the data you enter into the App and for your authority to process it.
5. Provision of the service and changes
5.1. Odyonom may develop the App and add, change or remove features. The Tenant's commercial rights are governed by the subscription agreement.
5.2. The App is provided to the User as is. Odyonom gives the User no commitment of any particular availability, uninterrupted operation or freedom from errors. Planned maintenance is announced in advance where possible.
5.3. The App is not a clinical decision-making tool. Responsibility for clinical assessments and decisions lies with the Tenant and the authorised healthcare professional.
6. Intellectual property
The App, its interface, software, documentation and trademarks belong to Odyonom or its licensors. These terms give you only a non-transferable, non-sublicensable and non-exclusive right to use the App on behalf of the Tenant for the duration of the Tenant's subscription. You may not remove, obscure or alter any copyright, trademark or proprietary notices in the App.
7. Suspension and closure of the account
7.1. Odyonom may suspend or close your account if you breach these terms, endanger the security of the App or other users, if the Tenant's subscription is suspended or ends, or at the request of competent authorities. Unless security or a legal requirement demands otherwise, the Tenant is informed in advance.
7.2. To close your account, you can contact your Tenant administrator or [email protected]. Data you entered on behalf of the Tenant remains the Tenant's data even if your account is closed.
8. Liability
8.1. Odyonom is not liable for damage arising from the User's use in breach of these terms or the law; such damage and any claims brought against Odyonom by third parties for this reason are borne by the User and the Tenant.
8.2. As the App is provided to the User free of charge, Odyonom's liability to the User is limited to intent and gross negligence. Odyonom is not liable for indirect damage, loss of profit or data, or failures in third-party services (internet, e-mail, SMS, payment infrastructure). Liability for intent, gross negligence and bodily injury, and other cases where limitation would breach mandatory law, are reserved (Turkish Code of Obligations No. 6098, Article 115).
8.3. Odyonom's liability to the Tenant is governed by the subscription agreement.
9. Force majeure
Odyonom's obligations are suspended for the duration of natural disasters, epidemics, war, general power or internet outages, cyber attacks, outages at infrastructure and service providers, decisions of public authorities and other events beyond Odyonom's reasonable control.
10. Changes to these terms
Odyonom may publish a new version of these terms. The new version is announced in the App or by e-mail at least 30 days before its effective date; changes required by law or for security may take effect sooner. The new version is shown to you the first time you sign in to the App and takes effect for you once you accept it. If you do not accept it, you cannot continue to use the App.
11. Evidence agreement
In disputes arising from these terms, Odyonom's electronic records (acceptance, transaction, sign-in and audit records, e-mail records) constitute evidence under Article 193 of the Code of Civil Procedure No. 6100. Your right to submit counter-evidence is reserved.
12. Governing law and jurisdiction
These terms are governed by Turkish law. For disputes with Users who are merchants or public legal entities, the courts and enforcement offices of the place of Odyonom's registered head office are competent (Code of Civil Procedure, Article 17). For other Users, the general rules of jurisdiction apply.

Subscription summary (for information)
Use of the app by hearing centres is governed by the subscription agreement (ABN-1.6); the binding terms are there. Summary:
- Free trial: 14 days, without asking for card details.
- Plan prices are annual and in Turkish lira. Prices on the website exclude VAT; the payment page shows and charges the total including 20% VAT. Payment processing and recurring billing fees are included in the plan price; no separate commission or service fee is charged.
- Payment is by credit card only, through iyzico's hosted payment form; debit and prepaid cards are not accepted. Bank transfer is accepted only on the Chain plan with at least 10 branches.
- Unless cancelled, the subscription renews automatically for the same term at the end of each year and the fee is charged to the registered card. Price changes do not affect the current term and are notified at least 30 days before renewal. Cancellation takes effect at the end of the paid term.
- If you cancel your first subscription within 14 days of the first payment (the 14th day included), the full plan fee you paid is refunded. This right can be used only once per organisation; it does not apply to renewal periods or later subscriptions. The refund starts automatically when you cancel; no separate request is needed. It is initiated to the card or account used within 10 business days at the latest; the time it takes to appear depends on the bank. Fees for additional quota purchased separately and already used may be deducted. Cancellations after this period are not refunded; the service remains available until the end of the paid period.
- Upgrades take effect immediately. The paid, unused remainder of your current plan is not refunded in cash; it is deducted from the fee for the first billing period of the higher plan, and any excess from the following billing periods. Downgrades take effect from the next subscription period and do not give rise to a refund.
- The service is provided as is. Odyonom does not commit to any uptime percentage, response time or error-free operation, and does not provide service credits, price reductions or refunds for outages. Planned maintenance is announced in advance where possible; maintenance required for security or urgent fixes may be carried out without notice.
- If you add a branch during the term, its fee for the remaining days is charged immediately, plus VAT; the renewal uses the new number of branches. Reducing branches does not give rise to a refund; the new number applies from the next renewal.
- If you connect your own SMS, e-mail or WhatsApp provider account, the contract, transfer and notice obligations towards that provider are yours; Odyonom only forwards messages on your instruction.
- While suspended, your data is kept and the app is read-only; only the subscription, billing and export pages can be used. Appointment reminders to patients continue while your remaining message quota lasts; once the quota is used up, reminders can be sent by e-mail only. Subscription and payment notices and mandatory security notices are also sent; all other notifications and credit-based services stop. These messages are a convenience; the Tenant bears the consequences if reminders are not delivered.
- Copying or reverse engineering the Service, or using it for a competing product, is prohibited; each breach incurs a contractual penalty of twice the annual plan fee and may lead to immediate termination.
